Tyle Terms of Service

These Terms of Service ("Terms") form a binding agreement between Tyle Labs, Inc. ("Tyle," "we," "us," or "our") and the individual or entity accessing or using the Service ("Customer," "you," or "your").

If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you have entered into a separate written agreement with Tyle (such as an enterprise agreement or Order Form), that agreement controls in the event of any conflict with these Terms.


1. The Service

1.1 Description

"Service" means Tyle's cloud-based AI-powered user research platform, including:

  • The web application (available at mosaic.tyle.sh and related domains)
  • AI-conducted research interviews (available at session.tyle.sh)
  • Research agent, market intelligence, and analytics features
  • API access (available at api.tyle.sh)
  • Related documentation, integrations, and support

1.2 Availability

The Service is provided on an "as available" basis. We do not guarantee uninterrupted availability, uptime, or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time for operational, security, legal, or maintenance reasons. Where reasonably practicable, we will provide advance notice of material changes.


2. Accounts and Eligibility

2.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent that you meet this requirement and that the information you provide is accurate and complete.

2.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Keeping your account information accurate and current
  • Notifying us immediately of any unauthorized access

2.3 Organizations and Team Accounts

If you create or join an organization on Tyle, designated administrators may manage membership, permissions, billing, and access to Customer Content. You are responsible for ensuring that all users associated with your organization comply with these Terms.


3. Acceptable Use and Restrictions

You may use the Service only for lawful purposes and in accordance with these Terms. You may not (and may not permit others to):

  1. Violate any law or regulation in connection with your use of the Service.
  2. Reverse engineer, decompile, or attempt to extract source code, underlying models, algorithms, or system architecture (except where prohibited by applicable law).
  3. Scrape, crawl, or systematically extract data or Output from the Service.
  4. Use the Service to develop, train, or improve a competing product or service, or for benchmarking or competitive analysis.
  5. Attempt model extraction, prompt harvesting, or replication of the Service's AI capabilities.
  6. Interfere with, disrupt, probe, scan, or test vulnerabilities in the Service or its infrastructure.
  7. Circumvent usage limits, rate limits, or access controls.
  8. Upload or transmit content that is unlawful, infringing, defamatory, fraudulent, threatening, abusive, or harmful.
  9. Upload highly sensitive regulated data (e.g., full payment card numbers, protected health information, or data subject to HIPAA) unless expressly authorized in writing.
  10. Misrepresent the AI nature of Tyle-conducted interviews — you must disclose to interview participants that the interview is AI-conducted where required by applicable law.

We may suspend, restrict, or terminate access if we reasonably believe there has been a violation of these Terms, a security risk, non-payment, abuse, or if required by law.


4. Customer Content

4.1 Ownership

"Customer Content" means all content you or your users submit to the Service, including research plans, interview configurations, uploaded documents, integration data, and any files or text provided through the platform.

As between you and Tyle, you retain ownership of your Customer Content.

4.2 License to Provide the Service

You grant Tyle a limited, non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and modify Customer Content solely as necessary to:

  • Provide, secure, and maintain the Service
  • Generate Output (research reports, transcripts, insights) for you
  • Comply with applicable law

This license terminates when you delete your Customer Content or your account, except as required for legal compliance or as described in our Privacy Policy.

4.3 Responsibility

You represent and warrant that:

  • You have all rights necessary to provide Customer Content to the Service
  • Customer Content does not violate any law or third-party rights
  • You have obtained any necessary consents for personal data included in Customer Content

5. Interview Data and Recordings

5.1 Interview Recordings

The Service enables you to conduct AI-powered research interviews that may include audio and/or video recording, transcription, and AI-generated analysis. You acknowledge and agree:

  • You are the data controller for interview data collected through your use of the Service. Tyle processes this data on your behalf as a data processor.
  • You are solely responsible for providing interview participants with adequate notice about the recording and AI processing of their communications, including links to your privacy policy.
  • You must obtain all necessary consents from interview participants for recording, transcription, and AI analysis, as required by applicable laws (including wiretapping, recording consent, and data protection laws).

5.2 Consent Notice Requirement

Before any recording or transcription begins, you must ensure that each interview participant has been presented with a clear notice that:

  • The interview is conducted by an AI system
  • The session may be recorded and transcribed
  • Their responses will be analyzed by AI and shared with your organization
  • Includes a link to your privacy policy

5.3 License for Interview Data

As between you and Tyle, you own all Interview Data. You grant Tyle a limited license to process Interview Data solely to provide the Service. Tyle may use aggregated and de-identified Interview Data to improve the Service, as described in the Privacy Policy.


6. AI and Machine Learning Features

The Service includes artificial intelligence and machine learning features that generate research reports, interview transcripts, summaries, market intelligence, and other outputs ("Output").

You acknowledge and agree:

  1. Output may be inaccurate, incomplete, misleading, or inappropriate. AI-generated content, including interview analysis and market intelligence, may contain errors or hallucinations.
  2. Output does not constitute professional advice. Output is not a substitute for professional market research, legal, financial, or strategic advice.
  3. You are solely responsible for reviewing, validating, and approving all Output before relying on or distributing it.
  4. You assume all risks associated with use of Output.
  5. Output may not be unique. Similar output may be generated for other users who provide similar inputs.

Our commitments:

  • We do not use Customer Content or Interview Data to train general-purpose AI models.
  • We may use aggregated and de-identified data to operate, maintain, and improve the Service.

Tyle is not responsible for decisions made or actions taken based on Output.


7. Integrations and Third-Party Services

7.1 Customer-Enabled Integrations

If you enable integrations with third-party services (e.g., Zendesk, Intercom), you authorize Tyle to access and process data from those services as necessary to provide the integration features (such as market intelligence analysis of support tickets).

7.2 Third-Party Terms

Third-party services are governed by their own terms and privacy policies. Tyle is not responsible for third-party services, outages, changes, or data practices. You are responsible for maintaining any required third-party licenses and complying with their terms.


8. Privacy, Security, and Data Protection

Your use of the Service is subject to:

  • Privacy Policy:
  • Data Processing Addendum (DPA): Available upon request for enterprise customers

If the DPA applies, it controls over these Terms and the Privacy Policy for matters relating to personal data processing.

We implement industry-standard security measures including encryption, multi-tenant data isolation, rate limiting, and access controls. Details are available in our Privacy Policy.


9. Subscriptions, Billing, and Cancellation

9.1 Plans and Pricing

Access to certain features of the Service requires a paid subscription. Current plans and pricing are available on our website.

9.2 Billing

  • Subscriptions automatically renew at the end of each billing period (monthly or annual) unless canceled before renewal.
  • Fees are charged in advance via your designated payment method through Stripe.
  • All fees are stated in U.S. dollars unless otherwise specified.
  • You are responsible for all applicable taxes.

9.3 Price Changes

We may change pricing upon at least 30 days' notice, effective at the next renewal term. If you do not agree to the new pricing, you may cancel before the renewal date.

9.4 Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings or by contacting us at .
  • Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.
  • All fees are non-refundable. This includes monthly and annual subscriptions. No prorated refunds will be issued for partial billing periods or early cancellation, except as required by applicable law.

9.5 Free Tiers and Trials

We may offer free tiers, trials, or promotional access. These are provided "as is" and may be modified or discontinued at any time. We may require a paid subscription to continue accessing features after a trial ends.


10. Intellectual Property

10.1 Tyle's Ownership

The Service, including its software, AI systems, algorithms, interfaces, design, documentation, and underlying technology (excluding Customer Content), is owned by Tyle and its licensors and is protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term solely for your internal business purposes.

10.2 Customer Content Ownership

As between you and Tyle, you retain all ownership and intellectual property rights in your Customer Content and Interview Data.

10.3 Output Ownership

Subject to Tyle's underlying intellectual property rights in the Service, and to the extent permitted by applicable law, you own the Output generated in response to your Customer Content and inputs. However, Output does not include Tyle's proprietary technology, algorithms, or materials.

10.4 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Tyle a perpetual, irrevocable, royalty-free license to use Feedback for any purpose, including improving the Service.

10.5 No Other Rights

Nothing in these Terms creates a partnership, joint venture, fiduciary, or agency relationship. All rights not expressly granted are reserved by Tyle.


11. Data Retention and Backup

You are solely responsible for maintaining independent backups of Customer Content.

Tyle does not guarantee data retention, availability, or recovery following account suspension or termination. Upon termination, we will make your data available for export for 30 days, after which we may delete it.


12. Disclaimer of Warranties

THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TYLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

WITHOUT LIMITING THE FOREGOING:

  • Tyle does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
  • Tyle does not warrant the accuracy, completeness, or reliability of any Output, including AI-generated research reports, transcripts, or market intelligence.
  • Due to the nature of large language models, Output may contain inaccuracies, omissions, or hallucinated content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) TYLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

(b) TYLE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF:

  • The total amount paid by you to Tyle in the 12 months preceding the event giving rise to the claim; or
  • If you are using a free plan, one hundred U.S. dollars ($100).

(c) THESE LIMITATIONS APPLY REGARDLESS OF WHETHER TYLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

(d) YOU ACKNOWLEDGE THAT THE FEES REFLECT THE ALLOCATION OF RISK SET FORTH IN THESE TERMS AND THAT TYLE WOULD NOT ENTER INTO THESE TERMS WITHOUT THESE LIMITATIONS ON ITS LIABILITY.


14. Indemnification

14.1 Your Indemnification

You agree to defend, indemnify, and hold harmless Tyle and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of:

  1. Your Customer Content or Interview Data
  2. Your violation of these Terms or applicable law
  3. Your failure to obtain required consents from interview participants
  4. Your use of Output in a manner that causes harm to a third party

14.2 Tyle's Indemnification

Tyle will defend you against third-party claims alleging that the Service (as provided by Tyle, excluding Customer Content and Output) infringes that third party's intellectual property rights, and will indemnify you against damages awarded in a final judgment or agreed in settlement.

Exclusions. Tyle's obligation does not apply if the claim arises from: (i) your breach of these Terms; (ii) Customer Content or Output; (iii) modifications you make to the Service; (iv) your failure to use updates provided by Tyle; or (v) combination of the Service with products not provided by Tyle.

14.3 Process

The indemnified party must: (i) provide prompt written notice of the claim; (ii) give the indemnifying party sole control of the defense and settlement; and (iii) provide reasonable cooperation at the indemnifying party's expense.


15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal claim, you agree to attempt informal resolution by contacting . We will try to resolve disputes within 30 days.

15.2 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

15.3 Jurisdiction

For disputes not resolved informally, the state and federal courts located in New Castle County, Delaware will have exclusive jurisdiction. Both parties consent to personal jurisdiction in those courts.

15.4 Class Action Waiver

To the extent permitted by law, disputes will be resolved on an individual basis. You waive any right to participate in class, collective, or representative actions.


16. Termination

16.1 Termination by You

You may terminate your account at any time through your account settings or by contacting . Termination does not entitle you to a refund of prepaid fees.

16.2 Termination by Tyle

We may suspend or terminate your access to the Service:

  • Immediately, if you breach Sections 3 (Acceptable Use), 4.3 (Content Responsibility), or 5.1 (Interview Data obligations), or if required by law.
  • With 30 days' notice, for any other material breach that remains uncured after the notice period.
  • At any time, if we discontinue the Service entirely (with reasonable advance notice).

16.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately (or at the end of your billing period for voluntary cancellation).
  • We will make your Customer Content available for export for 30 days after termination.
  • After the export period, we may delete your Customer Content.
  • Sections 4.1 (ownership), 6 (AI disclaimers), 10 (IP), 12 (warranties), 13 (liability), 14 (indemnification), and 15 (disputes) survive termination.

17. Force Majeure

Tyle is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, internet outages, labor disputes, governmental actions, or third-party service failures.


18. Assignment

You may not assign or transfer these Terms without our prior written consent. Any attempted assignment in violation of this section is void. Tyle may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.


19. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice at least 30 days in advance via email or prominent notice on the Service.

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service before they take effect.


20. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy, DPA (if applicable), and any Order Form, constitute the entire agreement between you and Tyle regarding the Service.
  • Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect.
  • Waiver. Failure to enforce any provision is not a waiver of future enforcement.
  • Notices. All notices must be in writing. Email is sufficient for notices to either party.
  • Export Compliance. You agree to comply with all applicable export control and sanctions laws.
